Telefónica and liberty global acquire uk's netomnia for £2 billion, boosting fiber network

A major deal in the uk telecoms landscape

TechNest Innovations is excited to report a significant development in the UK's fiber broadband market. Telefónica, alongside Liberty Global, the joint owners of VMO2 in the UK, and InfraVia Capital, through their fiber joint venture Nexfibre, have agreed to acquire Netomnia, the second-largest fiber operator in the UK, for a substantial £2 billion (approximately €2.294 billion). This marks the first major move in Telefónica's new strategic plan, prioritizing growth in key markets including Spain, Germany, the UK, and Brazil.

This acquisition demonstrates Telefónica's commitment to strengthening its presence in the UK. The new strategic plan emphasizes a focus on sustainable and robust network development, expansion of fiber infrastructure, and value creation through both VMO2 and Nexfibre. This deal directly supports those goals, promising a significant boost to their UK operations and fulfilling their vision for a competitive and future-proof network.

Financial breakdown of the acquisition

Financial breakdown of the acquisition

The financial commitment for this deal is substantial. Telefónica and Liberty Global will jointly contribute approximately £150 million, while Infravia will provide around £850 million. The final price is, of course, subject to the usual adjustments common in transactions of this scale. This investment highlights the confidence in the future of fiber broadband and the potential for growth in the UK market.

Nexfibre's expanding network reach

The integration of Netomnia’s network is a game-changer. Netomnia currently covers over 3.4 million homes with roughly 500,000 customers. Combined with VMO2’s existing 2.1 million homes slated for fiber upgrade, Nexfibre is projected to reach approximately 8 million homes by the end of 2027. The combined Nexfibre and VMO2 network is expected to eventually reach a total of around 20 million.

Changes for vmo2 and customer acquisition

As part of the agreement, VMO2 will acquire Netomnia’s customer base and brands, including YouFibre and Brsk. They will also expand their wholesale agreement with Nexfibre, receiving a cash consideration for this commitment. Furthermore, VMO2 will take a 30% stake in the entity through which Telefónica Infra and Liberty Global currently hold their investment in Nexfibre. This alignment strengthens their position within the evolving fiber landscape.

Ownership structure and regulatory approvals

Following the completion of the acquisition, Telefónica Infra, Liberty Global, and VMO2 will jointly control 50% of Nexfibre, with Infravia retaining the remaining 50%. The deal's finalization is contingent upon obtaining the necessary regulatory approvals – a standard process for transactions of this magnitude. This acquisition represents a significant step forward in the UK's fiber infrastructure development and underscores the commitment of these major players to the future of broadband.
